Clifford is qualified in Hong Kong, England and Wales, and Australia, and has practiced as a corporate-commercial lawyer in Hong Kong for more than 20 years. He has worked in leading international and Hong Kong law firms, and was a partner of a reputable Hong Kong law firm. He was also an in-house counsel to several private equity/venture capital companies, and a Hong Kong-listed company (in technology and pharmaceutical fields).
Clifford’s practice covers a broad range of corporate finance and commercial matters, including: initial public offerings (IPO) and listed company related matters, including pre-IPO restructuring and investments, listings on the Main Board and GEM of the Hong Kong Stock Exchange, post-IPO corporate governance and regulatory compliance matters (under the Hong Kong Listing Rules and the Securities and Futures Ordinance) and secondary financing, corporate reorganisations, mergers and acquisitions, takeovers and capital market transactions (equity and debt securities).
His areas of expertise also include: private equity-venture capital investments, investment funds, loan and financing transactions, joint ventures, direct investments in Hong Kong and Mainland China, licensing and registration (under the Securities and Futures Ordinance), acquisition/disposal of equity interests and assets, and other general corporate and commercial matters.
With in-depth knowledge of regulatory investigations, Clifford has also advised listed companies and their directors and officers on responding to enquiries and investigations carried out by The Stock Exchange of Hong Kong Limited.
